These Terms of Service ("Terms") govern your access to and use of Trulit's test management platform ("Service"). By accessing or using Trulit, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Trulit, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use this Service.
2. Service Description
Trulit provides a comprehensive test management platform that includes:
- Test case creation, organization, and management
- Test suite and test run execution tracking
- Defect tracking and reporting
- Real-time collaboration tools
- Custom fields and workflow automation
- Analytics and reporting dashboards
- Integration capabilities with third-party tools
We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice to users.
3. Account Registration and Security
3.1 Account Creation
To use Trulit, you must:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized access
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree not to share your credentials or allow others to access your account without authorization.
4. Subscription and Billing
4.1 Subscription Plans
Trulit offers various subscription plans with different features and usage limits. Plan details, pricing, and features are available on our pricing page and are subject to change with 30 days' notice.
4.2 Payment Terms
- Subscriptions are billed in advance on a monthly or annual basis
- Payments are processed through Stripe, our secure payment processor
- All fees are non-refundable except as required by law or stated in our refund policy
- Failure to pay may result in service suspension or termination
4.3 Free Trial
Free trials are available for new users. Trial periods are specified at signup and convert to paid subscriptions unless canceled before the trial ends.
4.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. Refunds are provided on a case-by-case basis at our discretion.
5. Acceptable Use Policy
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Upload malicious code, viruses, or any harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to harass, abuse, or harm others
- Scrape, crawl, or use automated tools without permission
- Resell, sublicense, or redistribute the Service
- Use the Service for competitive analysis or benchmarking
Violation of this policy may result in immediate account suspension or termination without refund.
6. Intellectual Property Rights
6.1 Trulit's Rights
All intellectual property rights in Trulit's platform, including software, design, logos, trademarks, and content, are owned by Trulit or our licensors. You may not use our trademarks or branding without written permission.
6.2 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about Trulit become our property, and we may use them without obligation or compensation to you.
7. Data Ownership and Privacy
7.1 Your Data
You retain all ownership rights to the test data, defect reports, and content you upload to Trulit ("Customer Data"). We do not claim ownership of your Customer Data.
7.2 License to Operate
You grant Trulit a limited license to host, store, process, and transmit Customer Data solely to provide and improve the Service. We will not access, use, or disclose Customer Data except as necessary to provide the Service or as required by law.
7.3 Data Security
We implement industry-standard security measures to protect Customer Data. However, no system is 100% secure, and you acknowledge the inherent risks of internet transmission.
8. Service Level Agreement (SLA)
8.1 Uptime Commitment
We strive to maintain 99.5% uptime for paid plans, calculated monthly. Downtime excludes scheduled maintenance (announced 48 hours in advance) and circumstances beyond our control.
8.2 Support Response Times
- Critical Issues: Response within 4 hours (business days)
- High Priority: Response within 24 hours
- General Inquiries: Response within 48 hours
Enterprise customers may have enhanced SLA terms per their agreement.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRULIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow liability limitations, so these may not apply to you.
10. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Indemnification
You agree to indemnify and hold harmless Trulit, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Customer Data you upload or process through the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time through account settings. Upon termination, you will lose access to the Service, and Customer Data may be deleted after a 30-day grace period.
12.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Breach these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
- Cause security risks or harm to our systems
12.3 Data Retrieval
You may export your Customer Data within 30 days of termination. After this period, data may be permanently deleted.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
13.2 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration, except for claims of intellectual property infringement or injunctive relief.
13.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or collective proceedings.
14. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use after changes constitutes acceptance of the new Terms.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Trulit
- Severability: If any provision is found invalid, the remaining provisions remain in effect
- No Waiver: Failure to enforce any right does not constitute a waiver
- Assignment: You may not assign these Terms without our consent
- Force Majeure: We are not liable for failures due to circumstances beyond our control
